1. Acceptance of Terms

By accessing or using this website, or by engaging THCM Advisory for any services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.

You also confirm that you have reviewed the information made available to you regarding the nature and scope of our services and that you are making an informed decision before proceeding.

2. About THCM Advisory

THCM Advisory is a Dubai-based business advisory and corporate services firm providing support in relation to company formation, residency and visa processing, business structuring, compliance coordination, banking assistance, and related administrative services in the United Arab Emirates.

References in these Terms to “THCM Advisory,” “we,” “us,” or “our” mean THCM Advisory and its employees, representatives, affiliates, and approved service providers, where applicable.

3. Scope of Services

Our services are limited to the specific services expressly agreed in writing through a proposal, invoice, quotation, engagement confirmation, service schedule, or other written communication.

Any services outside the agreed scope shall require separate approval and may be subject to additional fees.

Unless expressly agreed otherwise in writing, our services are provided solely for the benefit of the client or company identified in the relevant engagement and may not be transferred, assigned, sublicensed, or relied upon by any third party without our prior written consent.

4. Nature of Our Role

THCM Advisory acts solely as an independent corporate services and business advisory provider. We are not a government authority, regulator, bank, financial institution, legal practice, audit firm, or tax advisory firm.

We assist with administrative processes, coordination, document preparation, submissions, and general commercial guidance based on our experience. We do not control any government authority, free zone, mainland authority, bank, immigration department, third-party provider, or external approval body.

Accordingly, we do not guarantee approvals, outcomes, processing times, banking results, visa issuance, trade name acceptance, external approvals, or other results that depend on third parties.

5. No Legal, Tax, or Financial Advice

Any guidance, recommendations, or comments provided by THCM Advisory, whether verbally or in writing, are for general business support purposes only and do not constitute legal, tax, financial, investment, or accounting advice.

You remain fully responsible for obtaining independent professional advice from qualified legal, tax, financial, or accounting advisers where needed. THCM Advisory accepts no liability for any decision made or action taken in reliance on information that is not formal legal, tax, or financial advice.

6. Client Responsibilities

You agree to provide complete, accurate, current, and truthful information, documentation, and instructions at all times.

This includes, where applicable, identification documents, corporate records, source of funds information, ownership details, business activity descriptions, immigration information, and any other documentation required for KYC, AML, UBO, licensing, visa, banking, or compliance purposes.

You are responsible for:
ensuring all submitted information is true and complete;
responding promptly to requests for information or documents;
informing us immediately of any material change to your circumstances, contact details, structure, ownership, residency status, or business activity;
complying with all applicable UAE laws and regulatory requirements.

We are not liable for any delay, rejection, penalty, loss, or adverse outcome resulting from incomplete, inaccurate, misleading, delayed, or omitted information provided by you.

7. Application Processing

Applications and service requests are processed strictly on the basis of the information and written instructions provided by you.

An application is considered complete only when all required documents have been properly submitted and all relevant fees have been paid in cleared funds, unless otherwise agreed in writing.

We will use reasonable care and diligence in preparing, submitting, and following up on applications within the agreed scope of service. However, all approvals remain subject to the requirements, timelines, discretion, and policies of the relevant authorities and third-party providers.

8. Licensing Services

Where engaged to assist with company formation, licensing, renewal, amendment, or cancellation, our role is limited to the relevant administrative and coordination services connected with those processes.

You acknowledge that:
the final decision on licensing, permitted activity combinations, trade names, approvals, security clearances, and processing timelines rests with the relevant authority;
certain activities may require additional approvals from external departments or regulators;
certain shareholders, managers, or applicants may be subject to enhanced due diligence, security checks, or additional documentation requirements;
government fees, requirements, and procedures may change at any time.

THCM Advisory is not responsible for any refusal, delay, limitation, or change imposed by a licensing authority or external approval body.

9. Visa and Immigration Services

Where engaged to assist with visa, residency, establishment card, or immigration-related services, you acknowledge that all such services are subject to the sole approval and discretion of the relevant UAE immigration and governmental authorities.

We do not guarantee visa issuance, residency approval, change of status approval, or visa timelines.

You are responsible for:
ensuring applicants meet all legal and documentary requirements;
disclosing any immigration bans, criminal matters, travel restrictions, prior overstays, prior visa issues, or other factors that may affect eligibility;
complying with all entry, stay, medical, biometrics, cancellation, and exit requirements.

THCM Advisory shall not be liable for delays, refusals, fines, overstays, exit requirements, medical failures, or other outcomes arising from immigration authority decisions or from the applicant’s failure to comply with applicable rules.

10. Banking and Add-On Services

Where we assist with banking introductions, banking support, or similar add-on services, such assistance is provided on a facilitation basis only.

Bank account opening remains entirely subject to the bank’s internal compliance, onboarding, risk, and approval process. THCM Advisory does not guarantee that any bank account will be opened or maintained.

The same principle applies to any third-party or ancillary service, including but not limited to attestation, document clearing, medical testing coordination, courier support, insurance support, external approvals, or similar services.

11. Third-Party Service Providers

We may engage trusted third-party providers, contractors, agents, or service partners where reasonably necessary to deliver part of the agreed services.

Those third-party services may be subject to separate terms, policies, requirements, and timelines imposed by the relevant provider. While we exercise reasonable care in selecting service providers, we are not liable for delays, errors, omissions, interruptions, refusals, or losses caused by such third parties.

Any complaint relating specifically to the services of a third-party provider may need to be addressed directly with that provider.

12. Fees and Payment

All fees are payable in accordance with the relevant invoice, quotation, proposal, or written agreement.

Unless otherwise agreed in writing:
all fees must be paid in full before services commence;
government fees, authority fees, third-party fees, disbursements, and THCM Advisory service fees are separate unless expressly stated otherwise;
all applicable UAE taxes, including VAT, will be charged where required by law.

Government fees, authority charges, and third-party costs may change at any time without prior notice. Where such fees increase after a quotation or during processing, you remain responsible for the difference.

You are also responsible for any bank charges, transfer costs, exchange costs, intermediary fees, and similar payment-related charges.

THCM Advisory reserves the right to suspend work, withhold submissions, or delay processing until payment is received in cleared funds.

13. Late Payment and Non-Payment

If any invoice remains unpaid by its due date, we reserve the right to suspend or terminate services, withhold deliverables, decline further work, and take recovery action.

You remain responsible for any resulting fines, penalties, authority charges, legal costs, collection costs, and administrative costs arising from late payment or non-payment.

14. Refund Policy

Unless expressly agreed otherwise in writing, all fees paid to THCM Advisory are non-refundable.

This includes cases where:
you change your mind after instructing us;
you decide not to proceed after work has started;
an application, visa, trade name, bank account, or approval is delayed, refused, or not granted by a third party;
a service cannot proceed because you failed to provide documents, information, cooperation, or payment;
services are suspended or terminated due to breach, misconduct, or suspected unlawful activity.

Any exception to this policy must be confirmed by us in writing.

15. Renewals, Amendments, and Cancellations

Company licenses, visas, establishment cards, and related registrations do not renew automatically unless expressly agreed.

You are solely responsible for monitoring expiry dates and instructing us in sufficient time if you wish to renew, amend, deregister, or cancel any corporate or immigration matter.

THCM Advisory is not liable for fines, penalties, blacklisting, additional costs, or losses arising from late renewal, failure to renew, or delayed cancellation where you did not provide timely instructions, documents, or payment.

16. Operating in the UAE

You acknowledge that you are solely responsible for ensuring that your company and its activities comply with all applicable UAE laws, free zone rules, mainland regulations, licensing conditions, visa rules, labour obligations, AML requirements, tax obligations, economic substance requirements, sanctions laws, and any other applicable legal or regulatory standards.

You must not use any company, license, visa, document, or service obtained through THCM Advisory for any unlawful, misleading, fraudulent, defamatory, immoral, prohibited, or non-compliant purpose.

THCM Advisory bears no responsibility for the ongoing operation, management, or legal compliance of your company after incorporation or after services are delivered.

17. KYC, KYB, AML, and UBO Compliance

You agree to fully cooperate with all KYC, KYB, AML, sanctions screening, and UBO disclosure requirements.

We reserve the right to request additional documents or information at any time and to refuse, suspend, or terminate services if we are unable to complete satisfactory due diligence or if we reasonably suspect unlawful, misleading, or non-compliant activity.

Where required by law or regulation, we may disclose relevant information to competent authorities, regulators, financial institutions, or official bodies without liability to you.

18. Confidentiality

Both parties shall treat as confidential all non-public information disclosed in connection with the services, including corporate, personal, commercial, and operational information, except where disclosure is required by law, regulatory obligation, court order, bank compliance process, governmental request, or necessary third-party processing related to the services.

This obligation survives the end of the engagement.

19. Data Protection

THCM Advisory may collect, store, use, process, and transfer personal and corporate data as necessary to provide services, meet legal obligations, perform compliance checks, communicate with you, retain records, protect legitimate business interests, and comply with applicable UAE laws and regulations.

We aim to handle personal data securely and in accordance with applicable data protection laws, including UAE data protection requirements where relevant.

You confirm that any personal data you provide to us is lawfully provided and that you have authority to provide it where it relates to another person or corporate entity.

While we implement reasonable administrative and technical safeguards, we do not guarantee that electronic communications, cloud systems, internet transmissions, or third-party systems will always be fully secure or uninterrupted. To the fullest extent permitted by law, we are not liable for cyber incidents, external breaches, telecommunications failures, or unauthorised access caused by factors outside our reasonable control.

20. Documents and Records

We may retain digital and physical copies of documents and records for as long as reasonably necessary for service delivery, compliance, legal retention, audit, dispute resolution, or business record purposes.

Where original documents are held by us, it is your responsibility to collect them when notified. If documents remain uncollected after reasonable notice and retention time, we reserve the right to destroy or dispose of them securely without further liability, subject to applicable law.

21. Website Content and Accuracy

The content on this website is provided for general informational purposes only. While we aim to keep information accurate and current, we do not guarantee that all content is complete, accurate, current, or applicable to your specific circumstances.

UAE regulations, procedures, fees, and authority practices may change at any time. You should not rely solely on website content when making legal, tax, immigration, licensing, financial, or business decisions.

THCM Advisory accepts no liability for reliance placed on website content. Independent professional advice should be obtained where appropriate.

22. Intellectual Property

All content, materials, branding, logos, designs, templates, documents, systems, processes, methodologies, text, graphics, and other intellectual property on this website or provided by THCM Advisory remain our exclusive property unless expressly agreed otherwise in writing.

You may not copy, reproduce, distribute, modify, republish, reverse engineer, exploit, or use any such material for commercial or public purposes without our prior written consent.

23. Prohibited Conduct

You must not:
use this website or our services for unlawful or misleading purposes;
submit false, forged, or misleading documents or information;
infringe our intellectual property rights;
harass, threaten, abuse, defame, or mistreat our team or representatives;
attempt to damage, interfere with, or gain unauthorised access to our systems or data.

We reserve the right to suspend or terminate access to our website or services immediately where we reasonably believe any such conduct has occurred.

24. Termination

We may refuse, suspend, or terminate services immediately, with or without notice, where:
you breach these Terms;
you fail to provide required documents, cooperation, or payment;
we reasonably suspect unlawful, fraudulent, abusive, unethical, or non-compliant conduct;
continuing the engagement would expose us to legal, regulatory, reputational, or commercial risk;
a conflict of interest arises;
required compliance checks cannot be completed satisfactorily.

Termination does not affect any accrued rights, outstanding fees, payment obligations, indemnities, confidentiality obligations, intellectual property rights, or clauses intended to survive termination.

25. Limitation of Liability

To the fullest extent permitted by law, THCM Advisory shall not be liable for any indirect, incidental, consequential, punitive, or special loss or damage, including loss of profit, loss of opportunity, reputational loss, business interruption, or anticipated savings.

We are not liable for any delay, refusal, rejection, penalty, or loss arising from:
government or authority action or inaction;
changes in laws, procedures, policies, or fees;
bank decisions or compliance policies;
third-party service provider acts or omissions;
force majeure events;
your own acts, omissions, delays, or incorrect information.

Where liability cannot be excluded and is proven to arise directly from our own breach, our total liability in connection with the relevant service shall be limited to the lesser of the fee actually paid to us for that specific service or AED 500, unless a different limit is required by applicable law.

26. Indemnity

You agree to indemnify, defend, and hold harmless THCM Advisory, its directors, shareholders, employees, representatives, affiliates, and contractors from and against any claims, losses, liabilities, fines, penalties, damages, costs, and expenses, including legal fees, arising out of or connected with:
your breach of these Terms;
your unlawful, misleading, or non-compliant conduct;
false, incomplete, or inaccurate information provided by you;
your company’s activities, operations, transactions, or regulatory breaches;
third-party claims arising from your actions or omissions.

27. Force Majeure

THCM Advisory shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, including natural disasters, pandemics, war, civil unrest, strikes, cyber incidents, utility failures, internet outages, authority delays, regulatory changes, sanctions, or third-party failures.

Where such an event occurs, our obligations shall be suspended for the duration of the event without liability.

28. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or in connection with them shall be governed by the laws applicable in Dubai, United Arab Emirates.

Any dispute that cannot be resolved amicably shall be subject to the exclusive jurisdiction of the competent courts of Dubai, unless otherwise agreed in writing.

29. Changes to These Terms

THCM Advisory reserves the right to amend these Terms and Conditions at any time by updating this page. The updated version shall take effect from the date of publication on the website unless stated otherwise.
